All descriptions of products are subject to change at any time without notice at our sole discretion. We reserve the right to discontinue any product at any time and may limit the quantities of any products that we offer to any person, geographic region or jurisdiction, on a case-by-case basis.

SECTION 3 - Order acceptance and cancellation: You agree that your order is an offer to buy, under these Terms, all products and services listed in your order. All orders must be accepted by us, or we will not be obligated to sell the products or services to you. We may choose not to accept orders at our sole discretion, even after we send you a confirmation email with your order number and details of the items you have ordered.

After we have accepted an order, we are unable to cancel it at your request, even if you contact us immediately after placing the order. While we cannot cancel or adjust an order at your request after it has been placed, we will take commercially reasonable efforts to assist you with a return or exchange of eligible products in accordance with Section 8 below.

If you purchase products under a subscription and desire to cancel future renewals of the subscription, you may do so by logging into your account and making necessary changes so long as you do so before the subscription renews. Cancelling a subscription will stop future renewals, but does not cancel or otherwise change any orders that have already been placed. Your purchases are subject to return or exchange solely in accordance with our Returns, Exchanges, and Refunds policy (https://bare-protein.com/policies/refund-policy).

You represent and warrant that your purchases are for your own personal or household use and not for commercial resale or export.

SECTION 4 - Prices and payment terms: All prices, discounts, and promotions posted on this Website are subject to change without notice. The price charged for a product or service will be the price in effect at the time the order is placed and will be set out in your order confirmation email. Price increases will only apply to orders placed after such changes. Posted prices do not include taxes (including local charges such as sales tax, VAT, GST, HST, or customs duties) or charges for shipping and handling. All such taxes and charges will be added to your merchandise total and will be itemized in your shopping cart and your order confirmation email. We strive to display accurate price information, however, we may, on occasion, make inadvertent typographical errors, inaccuracies, or omissions related to pricing and availability. We reserve the right to correct any errors, inaccuracies, or omissions at any time and to cancel any orders arising from such occurrences.

We may offer, from time to time, promotions on the Website that may affect pricing and that are governed by terms and conditions separate from these Terms. If there is a conflict between the terms for a promotion and these Terms, the promotion terms will govern.

Prices posted in our online stores may be different from prices offered in physical stores or in online or other stores operated by third parties.

Terms of payment are within our sole discretion and payment must be received by us before we accept an order. We accept the credit cards and other approved payment methods made available in our Shopify store. You agree to provide current, complete and accurate purchase, payment and account information for all purchases made at our stores. You agree to promptly update your account and other information, including your email address, credit card numbers and expiration dates, so that we can complete your transactions and contact you as needed.

You represent and warrant that (i) the credit card information you supply to us is true, correct, and complete, (ii) you are duly authorized to use such credit card for the purchase, (iii) charges incurred by you will be honored by your credit card company, and (iv) you will pay charges incurred by you at the posted prices, including shipping and handling charges and all applicable taxes, if any, regardless of the amount quoted on the Website at the time of your order.

SECTION 5 - Shipments, delivery, title and risk of loss: We will arrange for shipment of the products to you. Please check the individual product page for specific delivery options. You will pay all shipping and handling charges specified during the ordering process. Shipping and handling charges are reimbursement for the costs we incur in the processing, handling, packing, shipping, and delivery of your order.

Title and risk of loss pass to you upon our transfer of the products to the carrier. Shipping and delivery dates are estimates only and cannot be guaranteed. We are not liable for any delays in shipments.

These Terms permit you to use the Services for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on the Services without our prior written consent. Except as expressly provided herein, nothing in these Terms grants or shall be construed as granting a license or other rights to you under any patent, trademark, copyright, or other intellectual property of Bare Protein, Shopify or any third party. Unauthorized use of the Services may be a violation of federal and provincial intellectual property laws. All rights not expressly granted herein are reserved by Bare Protein.

Bare Protein's names, logos, product and service names, designs, and slogans are trademarks of Bare Labs Inc. or its affiliates or licensors. You must not use such trademarks without the prior written permission of Bare Protein. Shopify's name, logo, product and service names, designs and slogans are trademarks of Shopify. All other names, logos, product and service names, designs, and slogans on the Services are the trademarks of their respective owners.

SECTION 7 - Optional tools: You may be provided with access to customer tools offered by third parties as part of the Services, which we neither monitor nor have any control nor input.

You acknowledge and agree that we provide access to such tools "as is" and "as available" without any warranties, representations or conditions of any kind and without any endorsement. We shall have no liability whatsoever arising from or relating to your use of optional third-party tools.

Any use by you of the optional tools offered through the site is entirely at your own risk and discretion and you should ensure that you are familiar with and approve of the terms on which tools are provided by the relevant third-party provider(s).

We may also, in the future, offer new features through the Services (including the release of new tools and resources). Such new features shall also be deemed part of the Services and are subject to these Terms of Service.

SECTION 8 - Returns, exchanges, and refunds: Please inspect your order upon receipt and contact us immediately at hello@bare-protein.com if the item is defective, or damaged, or if you receive the wrong variant or item so that we can evaluate the issue and make it right.

Except for any products designated on the Website as final sale or non-returnable, we will accept an exchange or a return of unopened products purchased from our Website for a refund of your purchase price, less outbound and return shipping, if you are not completely satisfied and request a return or exchange within 15 days from the date of purchase. Opened or partially used products are not eligible for return or refund.

We do not accept returns or exchanges for international orders. International customers are responsible for all customs duties, taxes, and return shipping costs, and we reserve the right to refuse returns on international orders at our sole discretion.

To start your return, please contact us at hello@bare-protein.com. No returns or exchanges will be accepted without receiving prior approval. Upon approval, you will receive instructions for return shipping to the appropriate fulfillment center — Canadian orders are returned to our Canadian facility, and U.S. orders are returned to our U.S. distribution center. If you are returning items from multiple orders, they must be shipped separately. You bear the risk of loss during shipment.

Refunds and exchanges are processed once the return is received. If your return is approved for a refund, you'll be automatically refunded on your original payment method used on the Website. Refunds take between 1-3 business days to fully process following the completion of our inspection of your return.

However, any sales and purchases you make in our Store are made directly with Bare Protein. By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any sales between you and Bare Protein, including any injury, damage, or loss resulting from purchased products and services. You hereby expressly release Shopify and its affiliates from all claims, damages, and liabilities arising from or related to your purchases and transactions with Bare Protein.

We will notify you of any indemnifiable claim, provided that a failure to promptly notify will not relieve you of your obligations unless you are materially prejudiced. We may control the defense and settlement of such claim at your expense, including choice of counsel, but will not settle any claim requiring non-monetary obligations from you without your consent (not to be unreasonably withheld). You will cooperate in the defense of indemnified claims, including by providing relevant documents.

SECTION 19 - Severality: In the event that any provision of these Terms of Service is determined to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms of Service, such determination shall not affect the validity and enforceability of any other remaining provisions.

SECTION 22 - Governing law: These Terms of Service and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. You and Bare Protein consent to the exclusive jurisdiction of the courts in the Province of Ontario, Canada for the resolution of any disputes arising from these Terms.

As Bare Protein expands operations to the United States, terms applicable to U.S. customers may be governed by applicable U.S. federal and state laws. Specific governing law provisions for U.S. operations will be communicated as they become applicable.

SECTION 23 - Headings: The headings used in this agreement are included for convenience only and will not limit or otherwise affect these Terms.

We reserve the right, in our sole discretion, to update, change, or replace any part of these Terms of Service by posting updates and changes to our website.
